THIS IS A LEGAL AGREEMENT BETWEEN YOU AND INNOVENTRUM INC. (DBA SIMPLEMONEYTOOLS.COM)
BY SUBMITTING THE ONLINE APPLICATION YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION.
This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in SimpleMoneyTools.com's Affiliate Program. The purpose of this Agreement is to allow HTML linking between your web site and the SimpleMoneyTools.com web site. Please note that throughout this Agreement, "we," "us," and "our" refer to SimpleMoneyTools.com, and "you," "your," and "yours" refer to the affiliate.
2. Affiliate Obligations
2.1. To begin the enrollment process, you will complete and submit the online application at the ShareASale.com server. The fact that we auto-approve applications does not imply that we may not re-evaluate your application at a later time. We may reject your application at our sole discretion. We may cancel your application if we determine that your site is unsuitable for our Program, including if it:
2.1.1. Promotes sexually explicit materials
2.1.2. Promotes violence
2.1.3. Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
2.1.4. Promotes illegal activities
2.1.5. Incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law
2.1.6. Includes "SimpleMoneyTools" or variations or misspellings thereof in its domain name
2.1.7. Is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to us in our sole discretion.
2.1.8. Contains software downloads that potentially enable diversions of commission from other affiliates in our program.
2.1.9. You may not create or design your website or any other website that you operate, explicitly or implied in a manner which resembles our website nor design your website in a manner which leads customers to believe you are SimpleMoneyTools.com or any other affiliated business.
2.2. As a member of SimpleMoneyTools.com's Affiliate Program, you will have access to Affiliate Account Manager. Here you will be able to review our Program’s details and previously-published affiliate newsletters, download HTML code (that provides for links to web pages within the SimpleMoneyTools.com web site) and banner creatives, browse and get tracking codes for our coupons and deals. In order for us to accurately keep track of all guest visits from your site to ours, you must use the HTML code that we provide for each banner, text link, or other affiliate link we provide you with.
2.3. SimpleMoneyTools.com reserves the right, at any time, to review your placement and approve the use of Your Links and require that you change the placement or use to comply with the guidelines provided to you.
2.4. The maintenance and the updating of your site will be your responsibility. We may monitor your site as we feel necessary to make sure that it is up-to-date and to notify you of any changes that we feel should enhance your performance.
2.5. It is entirely your responsibility to follow all applicable intellectual property and other laws that pertain to your site. You must have express permission to use any person's copyrighted material, whether it be a writing, an image, or any other copyrightable work. We will not be responsible (and you will be solely responsible) if you use another person's copyrighted material or other intellectual property in violation of the law or any third party rights.
2.7. Stacking is strictly and absolutely prohibited. "Stacking" is enrolling multiple Affiliates one under another for the purposes of capturing commission from multiple levels of the Affiliate Commission Plan. This method cheats the upline of their commissions and effectively converts the multiple levels of the Affiliate Commission Plan into a single level. And common methods of stacking usually involve violations of section 2.6. (more info on Stacking)
3. SimpleMoneyTools.com Rights and Obligations
3.1. We have the right to monitor your site at any time to determine if you are following the terms and conditions of this Agreement. We may notify you of any changes to your site that we feel should be made, or to make sure that your links to our web site are appropriate and to notify further you of any changes that we feel should be made. If you do not make the changes to your site that we feel are necessary, we reserve the right to terminate your participation in the SimpleMoneyTools.com Affiliate Program.
3.2. SimpleMoneyTools.com reserves the right to terminate this Agreement and your participation in the SimpleMoneyTools.com Affiliate Program immediately and without notice to you should you commit fraud in your use of the SimpleMoneyTools.com Affiliate Program or should you abuse this program in any way. If such fraud or abuse is detected, SimpleMoneyTools.com shall not be liable to you for any commissions for such fraudulent sales.
3.3. This Agreement will begin upon our acceptance of your Affiliate application, and will continue unless terminated hereunder.
4. Commission Fee Accrual and Payments
Subject to the terms of this Agreement, we will pay a Commission Fee equal to the specified percentage or dollar amount set forth in the Commission Report in Your Affiliate Console on a Qualified Subscription by a Referred Customer.
Commission Fees will be processed upon the successful completion of the Customer's purchase. Approximately 15 to 30 days after the sale the Commission Fees will be made available to the Affiliate for withdrawal from the Affiliate's eWallet account.
Commissions will accrue and only become payable once you (i) provide all relevant tax and address documentation pursuant to Section 8 below and (ii) have completed the Affiliate Compliance Training on the website. All Qualified Purchases eligible to result in Commissions under this Section 4 must remain active and in good standing pursuant to the terms of this Agreement in order to remain eligible for accrual.
5. Payment Forms/Types & Bonus Buying
5.1. Commission Fees shall be paid based on the current information in Your Affiliate profile. Please notify us promptly of any change in your address by updating your profile information in the Affiliate console. You are responsible for informing SimpleMoneyTools.com of Your desired Payment form/type.
5.2. You can update or change desired payment form at any time by updating your Affiliate Profile located in the Affiliate Console.
5.3. SimpleMoneyTools.com, in its sole discretion, reserves the right to modify the terms of this Commission payment method or schedule at any time. Such changes shall take effect when posted.
5.4. Disputes: Affiliate has access to SimpleMoneyTools.com's real-time Affiliate Program statistics and activity and specifically agrees to file any tracking or commission disputes as well as any other disputes and discrepancies within 45 days after the end of the month in which the sale or event that is disputed occurred. Disputes filed after 45 days of the date on which the Qualified Purchase occurred will not be accepted by SimpleMoneyTools.com and Affiliate forfeits forever any rights to a potential claim.
6. FTC Endorsement Compliance
6.1. It is the intent of SimpleMoneyTools.com to treat our customers fairly and to comply fully with all Federal Trade Commissions regulations related to advertising. As such, we require our affiliates to comply with these regulations. This includes, but is not limited to, Federal Trade Commission 16 CFR Part 255: Guides Concerning the Use of Endorsements and Testimonials in Advertising, which requires, among other criteria, that material connections between advertisers and endorsers be disclosed. This means that directories, review/rating sites, blogs and other websites, email or collateral that purport to provide an endorsement or assessment of an advertiser (in this case SimpleMoneyTools.com) must prominently disclose the fact financial or in-kind compensation is provided from the advertiser.
6.2. For more information and suggestions about how to comply with these guidelines, please visit our page entitled "Affiliate Disclosure Requirements and Examples." (Please note: this page is only intended to provide guidance. It does not purport to provide legal advice, nor does it guarantee that you'll be in compliance with FTC regulations should you follow the suggestions presented there.) You are advised to seek and obtain your own legal advice on how these rules apply to your website or other promotional activities for which you receive compensation.
6.3. SimpleMoneyTools.com reserves the right to withhold commission fees and cancel the affiliate relationship with you should we determine, at our discretion, that you are not in compliance with the previously mentioned guide or other FTC regulations/guides we deem relevant.
6.4. Income Claims - In their excitement to enroll new Affiliates, some Affiliates are may make income claims or earnings representations to demonstrate the inherent power of the multi-level Affiliate Program. This can be problematic because new Affiliates may become discouraged if their commissions are not as large or as rapid as the results others have achieved. Moreover, the Federal Trade Commission and all states have laws or regulations that regulate or even prohibit certain types of income claims and testimonials made by persons engaged in affiliate marketing. While Affiliates may believe it beneficial to provide copies of checks, or to disclose the commissions of themselves or others, such approaches have legal consequences that can negatively impact SimpleMoneyTools.com as well as the Affiliate making the claim unless appropriate disclosures required by law are also made along with the income clains. Because Affiliates do not have the data necessary to comply with the legal requirements for making income claims, an Affiliate may NOT make income claims or disclose his or her SimpleMoneyTools.com income (including the showing of checks, copies of checks, bank statements or tax records).
7. Promotion Restrictions
7.1. You are free to promote your own web sites, but naturally any promotion that mentions SimpleMoneyTools.com could be perceived by the public or the press as a joint effort. You should know that certain forms of advertising are always prohibited by SimpleMoneyTools.com. Other generally prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name, or your return email address. Also, you may post to newsgroups to promote SimpleMoneyTools.com so long as the news group specifically welcomes commercial messages. We will do everything possible to contact the affiliate prior to the ban. However, we reserve the right to expel any trademark violator from our affiliate program without prior notice, and on the first occurrence of such PPC bidding behavior.
